Héroux-Devtek Enters into Definitive Agreement to be Acquired by Platinum Equity

Héroux-Devtek Inc. (TSX: HRX) (“Héroux-Devtek” or the “Corporation”), a leading international manufacturer of aerospace products and the world’s third-largest landing gear manufacturer, today announced that it has entered into an arrangement agreement with an affiliate (the “Purchaser”) of Platinum Equity Advisors, LLC (“Platinum Equity”), a U.S. based private equity firm, pursuant to which the Purchaser will acquire all the issued and outstanding common shares of the Corporation, other than the shares to be rolled over by members of senior management of the Corporation (the “Rollover Shareholders”), for $32.50 in cash per share, representing a total enterprise value of approximately $1.35 billion, subject to customary closing conditions (the “Transaction”).

Nick Colagiovanni

Nick Colagiovanni is responsible for managing the transition of newly acquired companies into Platinum Equity’s portfolio. He also has responsibilities related to post-transition monitoring and oversight of operational performance at select portfolio companies.

Prior to joining Platinum Equity in 2020, Mr. Colagiovanni held positions at Alvarez & Marsal and served as the Chief Operating Officer at Rolta Advizex Technologies.

Mr. Colagiovanni holds a Bachelor of Science in Accounting from the University of Notre Dame.

Jonathan Lee

Jon Lee is responsible for the structuring and execution of acquisition and divestiture transactions. He also has responsibilities related to post-acquisition monitoring and oversight of operational performance at select portfolio companies.

Prior to joining Platinum Equity in 2018, Mr. Lee worked at H.I.G. Capital, where he was focused on growth investments in technology and healthcare. Prior to H.I.G., Mr. Lee worked in the investment banking division of Jefferies.

Mr. Lee holds a Bachelor’s degree in Business Administration and a Master’s degree in Accounting from the College of William & Mary.

Amit Sobti

Amit Sobti, based in Singapore, leads the Asia deal execution team and is responsible for the structuring and execution of acquisition and divestiture transactions.

Prior to joining Platinum Equity in 2023, Mr. Sobti was a Senior Managing Director in Private Capital at Ontario Teachers’ Pension Plan. Previously, he held positions at Unitas Capital, Warburg Pincus, Rhone Capital and Merrill Lynch.

Mr. Sobti holds a dual A.B. in Business Economics and Computer Science magna cum laude from Brown University.
